Venezuelan Jhonattan Vegas also shot a 68 along with the Americans Charley Hoffman, Vaughn Taylor and Kevin Chappell.
Henry, a 36-year-old Tour journeyman chasing his second PGA Tour win following his first victory in the Buick Championship in 2006, was clearl happy with his performance.
He said: "I feel confident in all aspects of my game. Fortunately on a golf course like this you've got to feel confident with the holes with a lot of slope and different undulating shots," Henry told the media.
"It is definitely a ball striker's golf course. Hopefully I can continue to hit it well and see what happens the next couple of days."
Cink was not originally scheduled to play at the Oaks Course but after a disappointing Masters he decided to change his mind and just scraped in.
"I was really disappointed with missing the cut at the Masters and I didn't really feel like I would go forward by taking another week off so decided to add this one and get right back to it instead of spending another week thinking about missing the cut,"Cink said.
"I'm glad I did that. I played well, played really well, actually," he said.
Sweden's Fredrik Jacobson and Scotland's Martin Laird were the leading Europeans after level-par rounds of 72.
